The sole focus of the Special Meeting shall be the adoption of a new Constitution.

Background

The Society’s Constitution was last amended in 2021. Changes made to our organisation in 2025 require the development of a new Constitution and the Society’s Officers wish to present the attached new Constitution to the members for approval at the Special Meeting. The Society’s Standing Committee has considered the new Constitution and recommends its approval. Following a complex application process, in August 2025 the Office of the Scottish Charity Register (OSCR) advised that our organisation meets the charity test and the legal requirements for being a Scottish Charitable Incorporated Organisation (SCIO) and has entered it in the Scottish Charity Register. This means the Society now has charitable status under the Charities and Trustee Investment (Scotland) Act 2005 and must accordingly meet its obligations as a SCIO. The attached new Constitution was drafted using the OSCR template to ensure its approval by that governing body.

There is a wealth of information about the duties and responsibilities of trustees and members of a SCIO on the OSCR website https://oscronline.oscr.org.uk and you can access these documents if you’d like to know more. SCIO members may wish to read SCIOs: A Guide for details of trustee and members’ duties and responsibilities. From February 2026 Clan MacEwen Society must publicise its status as a “SCIO SC 054473” on all formal documents and externally facing information, such as the website. Clan MacEwen Society will annually report to OSCR on the SCIO’s delivery towards our purposes (see the appendix for the list of purposes taken from the Strategic Plan which the OSCR has on record).

Voting instructions will be given at the start of the meeting.
